These Terms & Conditions ("Terms") are a legal agreement between you and Strategic Mischief, LLC, doing business as Text Hollis ("Text Hollis," "Hollis," "we," "us," or "our"). These Terms govern your access to and use of Text Hollis, including our website at https://texthollis.com, our applications, SMS program, email features, integrations, subscriptions, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, accessing, or using the Service, you agree to these Terms and our Privacy Policy at https://texthollis.com/privacy.

If you do not agree to these Terms, do not use the Service.

1. Who We Are

2. Eligibility

You must be at least 18 years old to create an account, purchase a subscription, or use Text Hollis.

By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these Terms, and are not prohibited from using the Service under applicable law.

If you use Text Hollis on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. What Text Hollis Is

Text Hollis is a personal AI assistant designed to help users communicate, remember information, organize tasks, create reminders, receive notifications, and interact with supported communication channels and connected services.

Depending on available features, you may be able to communicate with Text Hollis through SMS, email, our website or application, and other supported interfaces. You may also be able to connect external services such as calendars or email accounts.

Features may change, be added, or be removed over time.

4. Your Account

You may be required to create an account and provide accurate, current information.

You are responsible for:

  • Maintaining the confidentiality of your credentials
  • Maintaining control of devices, email accounts, and phone numbers connected to Text Hollis
  • Activity occurring through your account
  • Promptly notifying us if you suspect unauthorized access or use

You may not impersonate another person, create an account using information you are not authorized to use, or transfer your account in violation of these Terms.

You may delete your account through the in-app account settings.

5. Phone Numbers and Identity

If you connect a mobile phone number to Text Hollis, you represent that you are authorized to use that number.

Because phone numbers may be reassigned, you agree to promptly update or remove a phone number that you no longer control.

We may use verification measures to confirm control of a phone number, email address, or other account identifier.

6. AI-Generated Content and Limitations

Text Hollis uses artificial intelligence and automated systems. These systems can make mistakes.

Responses, reminders, summaries, inferred intentions, extracted dates, scheduled actions, and other outputs may be inaccurate, incomplete, delayed, duplicated, or misunderstood.

You are responsible for reviewing and confirming important information and actions.

Text Hollis is not a substitute for professional judgment and does not provide medical, legal, financial, tax, mental-health, or other licensed professional advice.

Do not rely on Text Hollis for emergencies, safety-critical communications, or situations in which delayed, missed, or inaccurate information could cause significant harm. If you are experiencing an emergency, contact the appropriate emergency service directly.

7. Reminders, Tasks, Calendar Actions, and Notifications

Text Hollis may help you create or manage reminders, tasks, calendar events, notifications, and similar actions.

You understand and agree that:

  • Delivery times are not guaranteed
  • Messages may be delayed, blocked, filtered, duplicated, or fail to arrive
  • Text Hollis may misunderstand dates, times, time zones, recurrence rules, names, or instructions
  • Connected services may be unavailable or may reject an action
  • You remain responsible for confirming important appointments, deadlines, payments, travel arrangements, medications, legal obligations, and other consequential events

You should not use Text Hollis as the sole method for tracking critical deadlines or obligations.

8. Connected Third-Party Services

You may be able to connect Text Hollis to third-party services, including email, calendar, communications, authentication, cloud, and other providers.

Your use of third-party services is also subject to their own terms and policies.

You authorize Text Hollis to access, process, transmit, or modify information in a connected service only to the extent permitted by the permissions you grant and the actions you request.

We are not responsible for third-party services, including their availability, security, accuracy, functionality, or changes to their products or policies.

9. SMS Messaging Terms

This section applies if you enroll in or use Text Hollis SMS messaging.

Program Name and Description

The messaging program is Text Hollis.

Text Hollis SMS enables registered users to communicate with the Text Hollis personal AI assistant and receive informational and account-related text messages, including:

  • User-requested reminders
  • Appointment and event reminders
  • Task and follow-up notifications
  • Responses to messages or instructions you send to Text Hollis
  • Account, security, billing, and service-related notices
  • Other informational messages associated with your use of Text Hollis

Text Hollis does not use your enrollment in this transactional SMS program to enroll you in unrelated marketing campaigns. Promotional text messages, if ever offered, will require any separate consent required by applicable law.

SMS Consent

SMS participation is voluntary.

Agreeing to these general Terms does not by itself constitute consent to receive recurring or proactive SMS messages where separate consent is required. Text Hollis will present a separate SMS opt-in mechanism where required.

Consent to receive SMS messages is not a condition of purchase.

Message Frequency

Message frequency varies based on your activity, the reminders and tasks you create, and the messages or notifications you request.

Message and Data Rates

Message and data rates may apply.

Your wireless carrier may charge fees for sending or receiving text messages. Text Hollis is not responsible for charges imposed by your carrier.

Opt Out

You may stop Text Hollis SMS messages at any time by replying STOP to the number from which you received a Text Hollis message.

After you opt out, you may receive one final message confirming that you have been unsubscribed. We will not send further recurring SMS messages unless you later provide valid consent to resume messaging.

For U.S. toll-free messaging, re-enrollment may require replying START or UNSTOP, subject to carrier and messaging-provider requirements.

Carrier Disclaimer

Wireless carriers are not liable for delayed or undelivered messages.

Message delivery is subject to effective transmission by your wireless carrier and network provider and is outside Text Hollis's complete control.

Supported Carriers and Availability

SMS availability may vary by carrier, country, device, number type, and network conditions. We may modify or discontinue SMS functionality where necessary to comply with carrier, provider, technical, or legal requirements.

SMS Privacy

Our collection and use of information associated with the SMS program is described in our Privacy Policy at https://texthollis.com/privacy, including our treatment of mobile information and SMS opt-in consent.

10. Subscriptions, Billing, and Automatic Renewal

Text Hollis is offered as a recurring monthly subscription unless a different billing arrangement is clearly disclosed to you before purchase.

Automatic Renewal

When you purchase a monthly subscription, your subscription will automatically renew each month until you cancel it.

Before you purchase, we will disclose the price then in effect, billing frequency, automatic-renewal terms, and any material purchase terms required by applicable law. By completing the subscription purchase, you authorize us or our payment processor to charge the applicable recurring subscription fee and any applicable taxes to your selected payment method on each renewal date until you cancel.

Price Changes

Subscription prices may change.

If the price of your existing recurring subscription changes, we will provide advance notice as required by applicable law before the new price takes effect. Where applicable law requires your affirmative agreement to a change, we will obtain it.

Cancellation

You may cancel a subscription online through the in-app account or billing settings.

Cancellation stops future renewals. Unless otherwise required by law or expressly stated when you purchase, your paid access will continue through the end of the billing period for which you have already paid.

We will not intentionally obstruct or unreasonably delay an online cancellation request.

Renewal and Subscription Notices

We will provide renewal, price-change, annual reminder, and other subscription notices when required by applicable law. Those notices may include the name of the subscription, billing frequency, amount or then-current price, and instructions for cancellation.

Refunds

Except where required by applicable law or expressly stated at the time of purchase, subscription fees already charged are non-refundable.

Deleting your Text Hollis account does not relieve you of charges already incurred. Before deleting an account with an active paid subscription, you should confirm that the associated subscription has been cancelled through the in-app billing settings.

11. User Content

"User Content" means information, text, files, messages, instructions, and other content you submit to the Service.

You retain any ownership rights you have in your User Content.

You grant Strategic Mischief, LLC a non-exclusive, worldwide license to host, store, reproduce, transmit, process, modify, and otherwise use User Content only as reasonably necessary to operate, secure, maintain, improve, and provide the Service, comply with law, and carry out actions you request, subject to our Privacy Policy.

We do not provide your private User Content to third-party AI model providers for the purpose of training their general-purpose AI models, and we do not authorize those providers to use your User Content for that purpose.

You represent that you have the rights and permissions necessary to provide User Content to the Service.

12. Acceptable Use

You may not use Text Hollis to:

  • Violate applicable law or another person's rights
  • Harass, threaten, stalk, exploit, or defraud another person
  • Send spam, unsolicited bulk communications, or unlawful marketing
  • Impersonate another person or misrepresent your identity or authority
  • Upload malware or interfere with the security or operation of the Service
  • Attempt to gain unauthorized access to another user's account, data, conversations, or connected services
  • Probe, scan, or test vulnerabilities except with our prior written permission
  • Circumvent access controls, usage restrictions, consent requirements, or safety systems
  • Use another person's phone number, email account, calendar, or other connected account without authorization
  • Use the Service in a way that could damage Text Hollis, our providers, our users, telecommunications networks, or third parties

We may investigate suspected violations and may suspend or terminate access where reasonably necessary.

13. Communications to Other People

If Text Hollis allows you to send information to another person or communicate with a third party, you are responsible for ensuring that you have lawful authority and any necessary consent to do so.

You may not use Text Hollis to send unsolicited messages, evade opt-out requests, purchase or use unauthorized contact lists, or transfer messaging consent between parties.

14. Ownership of the Service

Text Hollis, the Service, software, designs, branding, interfaces, documentation, and related intellectual property are owned by Strategic Mischief, LLC or our licensors and are protected by applicable intellectual-property laws.

Except for rights expressly granted in these Terms, we reserve all rights in the Service.

"Text Hollis," "Hollis," and associated names, logos, and marks may not be used without our prior written permission except as permitted by law.

15. Feedback

If you provide suggestions, ideas, or feedback about Text Hollis, you grant us permission to use that feedback without restriction or compensation to you, provided we do not publicly identify you as the source without permission.

16. Privacy

Our Privacy Policy at https://texthollis.com/privacy explains how we collect, use, disclose, retain, and protect personal information.

SMS consent is handled separately where required and is not bundled into your acceptance of these Terms.

17. Service Changes, Availability, and Beta Features

We may modify, suspend, limit, or discontinue all or part of the Service.

We do not guarantee that the Service or any particular feature will always be available, uninterrupted, secure, or error-free.

Features identified as beta, preview, experimental, or similar may be less reliable and may change or be discontinued without notice.

18. Suspension and Termination

You may stop using Text Hollis at any time and may delete your account through the in-app account settings.

We may suspend or terminate your access if we reasonably believe:

  • You violated these Terms
  • Your use creates risk or potential legal exposure
  • Your account has been compromised
  • Suspension is necessary to protect users, third parties, providers, or the Service
  • We are required to do so by law, a carrier, or a service provider

Sections that by their nature should survive termination will remain in effect, including provisions concerning ownership, disclaimers, limitations of liability, indemnification, and disputes.

19. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

STRATEGIC MISCHIEF, LLC AND TEXT HOLLIS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND QUIET ENJOYMENT.

WE DO NOT WARRANT THAT:

  • TEXT HOLLIS WILL ALWAYS UNDERSTAND YOUR REQUESTS
  • AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE
  • REMINDERS OR MESSAGES WILL ALWAYS BE DELIVERED OR DELIVERED ON TIME
  • CONNECTED SERVICES WILL ALWAYS WORK
  • THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE
  • THE SERVICE WILL MEET EVERY USER'S REQUIREMENTS

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGIC MISCHIEF, LLC, TEXT HOLLIS, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

1. THE AMOUNT YOU PAID TO TEXT HOLLIS FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR 2. US $100.

The limitations above apply regardless of the theory of liability and even if a remedy fails of its essential purpose.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

21. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Strategic Mischief, LLC, Text Hollis, and their affiliates, officers, directors, employees, contractors, and agents from claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your unlawful or unauthorized use of the Service
  • Your violation of these Terms
  • Your violation of another person's rights
  • User Content you submit or actions you direct Text Hollis to perform

This obligation does not apply to the extent a claim results from our own unlawful conduct.

22. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules.

Unless applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Sacramento County, California, and you and Strategic Mischief, LLC consent to the personal jurisdiction of those courts.

Nothing in this section limits any consumer rights that cannot lawfully be waived.

23. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may provide notice through the Service, by email, by SMS where appropriate, or through another reasonable method.

The updated Terms will become effective on the date stated in the updated version, subject to applicable law.

24. Severability and Waiver

If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Our failure to enforce a provision is not a waiver of our right to do so later.

25. Assignment

You may not assign these Terms without our prior written consent.

Strategic Mischief, LLC may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or similar transaction, or as otherwise permitted by law.

26. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms presented for specific features or purchases, constitute the entire agreement between you and Strategic Mischief, LLC regarding the Service and supersede prior agreements relating to the same subject matter.
